Moved within Ohio
The statute puts this on either the agent or the business, and it should be done forthwith (ORC 1706.09(E), 1701.07(E)). Check the new address is a primary residence for an individual, or a usual place of business for a company.
Moved out of Ohio
ORC 1706.09(D) treats this like a death or resignation. The business must promptly appoint someone else and file the appointment and acceptance. The same Form 521 is used, this time to appoint a new agent. The listing of an agent who moved away isn't a safe harbor for you.
This often happens to owners themselves
Owners who named themselves and then relocated to another state are a common case. The record still shows the old address, the current residents may refuse or lose the mail, and you may have no idea you've been sued. Read about owners outside Ohio.
What can go wrong while the record is stale
- A process server finds a stranger at the door.
- The plaintiff files an affidavit and serves the Secretary of State. The state mails notice to your last known address, and service is complete even if that letter never reaches you.
- The state's own notices go astray, and cancellation follows.
Quick check
Search your business in the state's records now and read the agent entry. It takes about a minute.
Questions
My agent moved but didn't tell me. Who is responsible?
The agent or the business can file the change, but the consequences of an outdated record fall on the business. Check your record now and then.
