Ohio Form 521, the Statutory Agent Update

Form 521 is the Ohio Secretary of State's one form for three events: appointing a new statutory agent, changing the current agent's address, and recording an agent's resignation. The state fee is $25, and you can file online at Ohio Business Central or by mail.

The three uses

A new agent's address must be a real Ohio street address. If an agent has moved out of Ohio, an address change won't solve it, because that agent no longer qualifies.

What you need before you start

  • The entity's exact name and Ohio entity number.
  • The new agent's exact legal name.
  • The agent's Ohio street address, with no P.O. box.
  • The agent's signature, or the agent's permission to sign acceptance for it as your e-filing process allows.
  • A card for the $25 fee, plus rush fees if you want them.

How to file

Online. Sign in to Ohio Business Central with an OhioID account, choose the statutory agent update, enter the entity number, and follow the prompts.

By mail. The form's instructions list regular filings to P.O. Box 788, Columbus, OH 43216, and expedited filings to P.O. Box 1390. Check the current form first, because the state revises it periodically.

Timing

Normal processing usually takes several business days. Paid rush options on Secretary of State forms are $100 for two business days, $200 for one, and $300 for four hours.

What this form won't do

  • It won't change your business name, address, or owners.
  • It won't bring a canceled business back. That is Form 525A, which reinstates and names an agent together.
  • It isn't how a new company names its first agent. That is done in the articles.

Using us as the new agent

Our exact agent details appear in your portal after you sign up and e-sign, with a copy button next to each. Prefer not to handle it? Ask us to file it for you. Either way, the state fee is $25.

Questions

Does my old agent need to sign Form 521?

Not when you are replacing them. The filing needs the business's representative and the new agent. ORC 1706.09(G) lets a company revoke an agent's appointment by filing a new appointment and acceptance along with a statement revoking the former agent.

Is there a form for moving many businesses at once?

Yes. Forms 526A and 526B handle bulk agent name or address changes at a price of $125 plus $3 per record at the state. They're meant for agents updating many entities.
