|---|---|---|
| Keep an agent | Continuously, in Ohio | (A) |

| Replace agent | Promptly on death, resignation, or move | (D) |
| Resign | Effective 30 days after filing | (F) |
| Revoke | New appointment and a revocation statement | (G) |
| Service through the state | If agent can't be found | (H) |

Single-member LLCs
The sole owner often serves, if they live in Ohio. It's the cheapest route, but it does put your home on file, and it means everything turns on one person being reachable.
Multi-member LLCs
Pick one agent and be clear internally about who receives what from them. If that agent is a member, make sure papers will reach the others. Put the process in your operating agreement if you can. A neutral agent also avoids one member controlling the flow of legal notices, which matters if members later disagree.
Member-managed or manager-managed
The choice of management has no effect on who can serve. An agent doesn't need to be a member or a manager at all.
LLCs formed before Chapter 1706
Older Ohio LLCs formed under the former Chapter 1705 are now governed by 1706. The agent requirement carried forward, so your existing agent appointment doesn't need refiling just because the code changed.
Getting started
New LLC? See how to name an agent on Form 610. Existing LLC? Change your agent on Form 521 for $25.
Questions
Does an LLC need an agent if it has no employees or revenue?
Yes, as long as the LLC is on the state's record. A dormant LLC still has to maintain an agent until it is dissolved.
Can one person be the agent for several of my LLCs?
Yes. There is no limit. With us each LLC has its own subscription, all under one account.
