Why file instead of walking away
An abandoned company stays on the record and can still be sued. Filing tells the world and the state that it's over. It also gives you a clear date for wrapping up your tax and contract obligations.
What to do besides this filing
- Get your members or shareholders to approve the closing, as your documents require.
- Pay or settle debts, and notify known creditors as your attorney recommends.
- File final tax returns and close state and local accounts. Your accountant can tell you about any clearance requirements.
- Close your bank accounts, licenses, and insurance.
Your agent during wind-up
Keep your statutory agent until the state has accepted the filing. Papers can still arrive, and a gap could cause trouble. After that, cancel your agent service for that business in the portal.
